Bryozoan Partner & Affiliate Program Terms and Conditions

These Terms and Conditions ("Terms") govern participation in the Bryozoan Partner and Affiliate Program ("Program"). By applying to or participating in the Program, the Partner ("You") agrees to be bound by these Terms. Governing Law: England & Wales
1. Eligibility & Acceptance
1.1
Participation in the Program is subject to Bryozoan's approval. Bryozoan may accept or decline any application at its sole discretion.
1.2
You must be at least 18 years old and legally capable of entering binding agreements.
1.3
Bryozoan reserves the right to re-evaluate, suspend, or terminate eligibility at any time.
2. Prohibited Promotion Methods
2.1
Partners shall not engage in any activity that may harm Bryozoan's reputation, including but not limited to:
Sending unsolicited bulk or spam communications- Making false, misleading, or unsubstantiated claims about Bryozoan
- Impersonating Bryozoan employees or representatives
- Bidding on Bryozoan brand names, trademarks, or variations thereof in paid advertising platforms
- Promoting unauthorised discounts or incentives
- Using illegal, unethical, or harmful marketing practices
Any violation of this section may result in immediate termination and forfeiture of unpaid commissions.
3. Attribution & Tracking
3.1
Referral tracking is performed exclusively through Bryozoan's assigned referral links and tracking technologies.
3.2
A referral is only valid when:
- The visitor uses the Partner's unique referral link; and
- Tracking remains intact until conversion.
Cookies or tracking mechanisms shall expire after the duration defined in the Program dashboard.
4. Fraud Prevention
4.1. The following conduct constitutes fraudulent activity and is strictly prohibited:
- Self-referrals or attempts to earn commissions on one's own purchases
- Coordinated referrals intended to later cancel services ("friend deals")
- Artificially manufactured transactions
- Bulk low-quality traffic or bot-generated activity
4.2. Bryozoan may withhold, reverse, or claw back commissions pending investigation. 4.3. Bryozoan's determination of fraud shall be final.
5. Commission Structure & Earnings
5.1
Commission rates are as stated in the Program dashboard and may be amended at Bryozoan's discretion.
5.2
Commissions may be one-time or recurring depending on the referred customer's subscription type.
5.3
Recurring commissions, where applicable, are only payable for the duration specified (e.g., 12 months).
5.4
Commissions are only considered earned when the referred user's payment has:
- Successfully processed
- Passed any refund or chargeback window
- Not been cancelled, refunded, disputed, or reversed
Minimum payout thresholds apply and are displayed within the Program dashboard.
6. Payout Terms, Cancellations & Failed Payments (Monthly & Annual Subscriptions)
6.1
Commission payments are issued monthly for all eligible referrals whose payments have successfully cleared during the previous billing period.
6.2
For customers on monthly billing, commissions are only payable when Bryozoan has received the subscription payment in full for that billing cycle.
6.3
For customers on annual billing, commissions are paid: • On a prorated monthly basis over the 12-month subscription term; and • Only while the subscription remains active and fully paid
6.4
If a referred customer: • Cancels their subscription • Downgrades their subscription • Requests a refund • Initiates a chargeback • Has a failed, reversed, or unsuccessful payment • Becomes delinquent or suspended for non-payment — then all unpaid, pending, or future commissions relating to that customer shall be forfeited.
6.5
Partners acknowledge and agree that Bryozoan shall not issue commission payments for: • Transactions that do not result in completed payment • Payments that are later reversed • Accounts that churn within the billing period • Any subscription that becomes inactive for any reason
6.6
All commissions are displayed in the Partner dashboard and will reflect real-time adjustments based on cancellations, refunds, or non-payments.
6.7
Bryozoan reserves the right to reverse commissions already paid if it later determines that the underlying transaction was fraudulent, refunded, or in breach of these Terms.
7. Payment Methods
7.1
Payments may be issued via Stripe, PayPal, bank transfer, or any other approved method.
7.2
The Partner is solely responsible for providing accurate payment details.
7.3
Bryozoan is not responsible for delays caused by incorrect or incomplete information.
7.4
The Partner is solely responsible for paying any applicable taxes or statutory deductions.
8. Brand Usage & Intellectual Property
8.1
Partners may use official Bryozoan branding assets solely for Program-approved promotional activities.
8.2
Partners may not: • Modify brand assets • Use assets in misleading or harmful ways • Suggest formal affiliation, employment, or endorsement by Bryozoan
8.3
All Bryozoan intellectual property remains the exclusive property of Bryozoan.
9. Termination
9.1
Bryozoan may terminate a Partner's participation immediately, without notice, for: • Fraud or suspected fraud • Spam or prohibited promotion activities • Misrepresentation of Bryozoan • Violation of these Terms • Harm or potential harm to Bryozoan's reputation • Illegal activity • Extended non-activity (optional)
9.2
Upon termination, all unpaid commissions relating to unearned, reversed, or disputed transactions will be withheld.
9.3
Partners must cease all promotional use of Bryozoan branding immediately upon termination.
10. Limitation of Liability
10.1
Partners act as independent contractors, not employees.
10.2
Bryozoan shall not be liable for: • Loss of earnings • Advertising or promotional expenses • Business interruption • Indirect, incidental, or consequential damages • Loss of expected commissions or revenue
10.3
Bryozoan makes no guarantee regarding: • Earnings • Number of referrals • Customer conversions • Performance of the Program
11. Modification of Terms
11.1
Bryozoan reserves the right to modify these Terms at any time.
11.2
Partners will be notified via email or dashboard notice.
11.3
Continued participation constitutes acceptance of any modifications.
12. Compliance With Laws
12.1
Partners must comply with all applicable laws, including but not limited to: • GDPR and data protection laws • Anti-spam regulations • FTC and ASA disclosure guidelines
12.2
Partner promotions must clearly disclose affiliate relationships (e.g., "This is an affiliate link").
12.3
Partners bear full responsibility for compliance with applicable laws.
13. Data Protection & Privacy
13.1
Partners must handle any customer data in compliance with GDPR, CCPA, and all applicable privacy laws.
13.2
Partners shall not collect, use, or share personal data beyond what is necessary for Program participation.
13.3
Bryozoan may provide referral statistics and conversion data in aggregated or anonymised form.
14. No Earnings Guarantee
14.1
Bryozoan provides no assurance of specific earnings, conversions, or performance results.
14.2
Participation in the Program does not guarantee revenue.
15. Governing Law & Dispute Resolution
15.1
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
15.2
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
